Section A
‘’Salomon’s decision resulted in debates questioning the unfairness of its decision caused by courts
reluctance to lift the corporate veil.’’
Using case law, critically discuss the above statement.
Section B
1- Using appropriate primary and secondary sources, discuss, if any, the extent of the
protection offered to minority shareholders.
2- ‘’Not knowing of bribary taking place within your organisation is not a defence in law.’’
Discuss the statement using appropriate primary and secondary sources.
3- Do you agree with the following statement: ‘’Unfair dismissal is difficult to establish.’’
Criteria for Assessment
Students will be assessed on their understanding of company law through a compulsory question. The student
also has an option to answer a question on possible criminal liabilities, shareholders protection or employment
law.
Referencing: the guidance at the end explains the operation of legal referencing, but it has been agreed that
you can keep using CU Harvard for this module. The guidance at the end, raises few general useful points of
certain websites to avoid etc.
Section A: All students must answer this question.
Will be testing the students’ understanding of Salomon v Salomon [1897] and whether the corporate veil can
cause unfairness if courts refuse to lift it to get to shareholders and/or directors. An examination of subsequent
case law to Salomon’s is imperative. A justificatory conclusion is required to demonstrate higher understanding.
The use relevant journal articles would demonstrate wider research and therefore, elevate the quality of the
final submission
Section B: In addition to section A, students are required to pick one of the following two questions.
1- Students who opt to answering question 1, will need to demonstrate understanding of the protection
offered to minority shareholders using case law and/or legislation. The answer should be concise.
2- Students who opt to answering question 2, will need to demonstrate understanding of the concept of
strict liability and the facts that not knowing of the offence taking place within an organization is not a
defense in a court of law.
3- Students who decide to answer the 3rd question, will need to demonstrate sound understanding of
unfair dismissal and its requirements, while ensure that they relate to the question and use primary
authority to support their points.
Word Count
The word count is 2000.
There will be a penalty of a deduction of 10% of the mark for work exceeding the word limit by 10% or more.
The word limit includes quotations, but excludes the bibliography, references and citations.
